Notice to the shareholders of the Company Auréus Investments

To manage the assets of the Sub-Fund EBC as efficiently as possible, the mandate of the current investment advisor of the Sub-Fund EBC being Financiële Diensten Amsterdam B.V. ("FDA") will end.
Auréus Group B.V., the current investment manager (“Investment Manager”) of the Company and of the Sub-Funds, will take over the tasks performed by FDA for the Sub-Fund EBC. The reason for this change is that selected equities are not performing as expected, and that the Investment Manager takes the view that rebalancing is necessary.
Therefore, the Investment Manager, by way of its own internal investment office Auréus Investment Office (a department involved in the development and execution of investment and portfolio management strategies), takes the equity selection process for the Sub-Fund EBC back in its own hand with effect from 1 December 2025. This process will be guided by the principles of controlled sales and purchase transactions within the portfolio, to avoid value destruction and to maintain an optimal diversification strategy at any time.
The fees previously allocated to the Investment Advisor will be allocated to the Investment Manager. In aggregate the fees for this Sub-Fund EBC will therefore remain unchanged.
Furthermore, the name and the investment policy of the Sub-Fund EBC shall be amended:

The Sub-Fund is actively managed without replicating any benchmark and without reference to any benchmark.
The portfolio of this Sub-Fund consists of approximately 65 companies. Based on primary research and high conviction, long term investment ideas, the focus of this Sub-Fund is directed at European and US Large-Cap equities with a free-float market capitalization of Euro 5 billion and more. The portfolio consists of quality, growth companies, with a tenable, sustainable and above average future cash flow growth. They have a good track record, are well managed and possess an almost unique product or service. Their activities are international scalable. They are flexible and able to profit from the opportunities provided by globalization. The investments underlying the Sub-Fund do not take into account the EU criteria for environmentally sustainable economic activities | The assets of the “Auréus Investments – Equities Select” sub-fund (the “Sub-Fund”) are predominantly invested in a diversified, international portfolio of listed common stocks and other equity securities of issuers located in developed and emerging markets. The Sub-Fund is actively managed without replicating any benchmark and without reference to any benchmark. The portfolio managers employ a bottom-up approach to stock selection, seeking to identify companies they believe have attractive long-term growth prospects, and select companies without being constrained by a benchmark.
The portfolio of this Sub-Fund typically consists of at least 50 growth companies. The Sub-Fund is not constrained with respect to market capitalisation and may participate in initial public offerings (“IPOs”). The focus is directed at companies with a long-term growth potential, geographic and industry positioning, competitive advantage, strong management and attractive valuation.
The Sub-Fund invests predominantly in securities issued by companies in a range of developed and emerging market countries. The investments underlying the Sub-Fund do not take into account the EU criteria for environmentally sustainable economic activities. However, when assessing a company's long-term growth prospects, the portfolio managers seek to identify and to incorporate a range of factors that are material for managing the Sub-Fund's investment risks and maximising capital appreciation. Such factors potentially include the environmental, social, and/or governance characteristics of the company, such as stewardship, sustainable business practices, and/or corporate culture.
The Sub-Fund aims to hold securities for long periods (typically at least 5 years), which generally results in relatively low portfolio turnover. The investment process can result in significant exposure to a single country or a small number of countries. |
Furthermore, some other changes in connection with the composition of the management company’s management board, the possibility to use derivatives, the risk section etc. are made to the Prospectus of the Company.
The modified Prospectus including the special sections dated 1 December 2025 and the key information documents (PRIIP-KIDs) of the Company are available free of charge in digital format during normal business hours on any banking day at the registered office of the Company or the Management Company.
Shareholders of the Sub-Fund EBC who do not agree with the aforementioned changes have the option to redeem their shares free of charge from the date of this notification until 30 November 2025.
